Dalsa Acquires CCD Camera Manufacturer For $11.5 Million

Dalsa Corp. (Waterloo, ON, Canada), a developer of semiconductor image sensors and electronic digital cameras, has acquired Silicon Mountain Design (SMD; Colorado Springs, CO), a manufacturer of high-speed CCD cameras, for US$11.5 million. High-speed CCD cameras have applications in microscopy, film scanning, wafer inspection, printed circuit board assembly inspection, arial reconnaissance, and general research.

The purchase price includes intangible assets of approximately US$11 million, primarily technology rights and in-process research and development costs. The company expects to amortize this amount over a period not exceeding 24 months. In addition, contracts with certain key employees provide performance incentive compensation based on continuing employment, which may result in additional expense during the next three years.

Dalsa is involved in the electronic design, development, manufacture, and marketing of image sensor and electronic camera products based on its high performance image capture charge-coupled device (CCD) technology. Dalsa's CCD image sensor silicon chips and electronic cameras provide advanced technological solutions for a broad range of industrial vision applications, including postal inspection, office document scanning, semiconductor and electronics inspection, industrial product inspection and web inspection.

SMD, founded in 1992, manufactures high-speed CCD cameras. The company's customer base includes several fortune 500 companies in addition to government research facilities worldwide. SMD has 28 employees and $10 million of revenue.
